GFI Auto-Renewal Policy

GFI Auto-Renewal Policy

Effective Date: October 15, 2026

1. Overview

GFI solutions are delivered as subscription based services supported by a click-through End User License Agreement (EULA). The latest EULAs contain an auto-renewal clause that ensures continuity of service for customers and partners by avoiding unplanned lapses.

This policy applies to all subscription products eligible for auto-renewal. Eligibility is based on license metadata and confirmation that the customer has accepted a EULA containing the auto-renewal provision.

By defaulting to renewal, we protect critical infrastructure and security systems from downtime, allowing operations to continue while financial or administrative matters are resolved.

All GFI/Kerio/Exinda Products are subject to auto renewal with the exception of GFI FaxMaker Online and EtherFax.

2. Subscription Term

Each subscription is valid for the term specified in the customer’s agreement. Unless a valid Notice of Non-Renewal is received in accordance with Section 4, the subscription will automatically renew at the same entitlement level (seat count and/or license type) for a Renewal Term of equal length to the expiring term.

3. Renewal Pricing

3.1 Standard Auto-Renewal Pricing

Subscriptions that auto-renew will do so at GFI’s then-current list pricing for the same number of licenses as the expiring subscription.

3.2 SKU Availability

If a SKU is retired or replaced, GFI will renew with an equivalent SKU that provides comparable functionality at the applicable price.

3.3 Channel Changes

If reseller or distributor relationships change, through acquisition, transfer or otherwise, or a partner becomes non-operational, GFI will:

  • Ensure continuity of service.
  • Proceed with automated provisioning of the license, as contractually required.
  • Co-ordinate alternate billing arrangements through an authorized partner in the GFI distribution network.
  • In the absence of a viable reseller or distributor, GFI reserves the right to invoice the end customer directly, based on their acceptance of the EULA.

GFI’s commitment remains the same: to maintain uninterrupted service for end customers.

3.4 Deal Desk Requests

Authorized partners may submit a Deal Desk request (a discount request against then-current list pricing) for any subscription up to 30 days before expiration (T-30). Deal Desk eligibility is not conditional on auto-renewal status — requests may be submitted whether auto-renewal is enabled or disabled.

Deal Desk requests are assessed on their commercial merits against GFI’s then-current list pricing. There is no automatic approval threshold. Approval is at GFI’s discretion and will take into account the size and history of the subscription, the competitive position, and the uplift delivered on the prior net-to-GFI Annual Recurring Revenue (ARR).

  • Deal Desk requests must be submitted and fully executed with an order placed by T-30.
  • Approved Deal Desks expire 30 days from the date of approval or at T-30, whichever comes first.
  • If an approved Deal Desk does not result in an order being placed before expiry, the approval will become null and void.
  • After T-30, no Deal Desk requests will be accepted and the subscription will be eligible only for then-current pricing.

3.5 Downsells

Deal Desk requests may be submitted for any change in scope, including seat decreases or module downgrades. Requests that reduce net-to-GFI ARR relative to the expiring subscription require Deal Desk approval and will be assessed on their commercial merits. Partners may alternatively opt out of auto-renewal and place a new order at then-current list pricing for the revised entitlement.

3.6 Timing

Deal Desk approvals expire 30 days from the date of creation or at T-30, whichever comes first, if not executed with a placed order. There is no grace period beyond T-30, and no license extensions will be issued. Renewals after expiration will be subject to then-current pricing regardless of any prior Deal Desk discussions or approvals.

4. Auto-Renewal Preference, Cancellation and Opt-Out

4.1 Managing auto-renewal in the Partner Portal

Auto-renewal can be enabled or disabled at any time, per subscription, directly in the GFI Partner Portal. No email or written notice is required.

  • The auto-renewal status of every subscription is visible to the authorized partner of record in the Partner Portal.
  • The status may be changed at any time up to 30 days before the expiration date (T-30).
  • A change made in the Partner Portal takes effect immediately and is confirmed on screen.
  • Changes made after T-30 will not affect the current renewal and will apply from the following term.
  • Subscriptions are enrolled in auto-renewal by default upon renewal; this status must be explicitly disabled in the GFI Partner Portal to turn it off.

4.2 Notice of Non-Renewal by email

Where a partner is unable to use the Accounts Portal, a written Notice of Non-Renewal may instead be sent to cancel@gfi.ai and must be received at least 30 days prior to the expiration date.

A valid notice must include:

  • The customer’s legal name
  • The license key(s) or subscription number(s)
  • A statement requesting non-renewal

Notices received late or sent to incorrect addresses will not be considered valid. The Accounts Portal is the preferred route and is the only route that provides immediate confirmation.

4.3 Result of Opt-Out

If a subscription is opted out of auto-renewal:

  • Confirmation is sent to the customer and/or reseller, as appropriate.
  • The subscription will not auto-renew.
  • Customers may elect to purchase a renewal at then-current list pricing.
  • Deal Desk eligibility is unaffected. A partner who has opted out of auto-renewal may still submit a Deal Desk request up to T-30 under Section 3.4.
  • No legacy pricing or previously approved Deal Desk terms will be carried forward.

5. Proof of Acceptance

In the event of a billing inquiry or clarification, GFI will provide documentation demonstrating the end customer’s acceptance of the EULA, including: –

  • Timestamped acceptance logs from the product telemetry, including IP location and/or any identifying information,
  • A copy of the relevant EULA version, and
  • License provisioning records.
  • These records confirm the customer’s binding agreement to the auto-renewal terms.

6. Policy Amendments

GFI reserves the right to amend this policy at any time. Changes will be communicated to customers and partners through appropriate channels and posted on GFI’s website.
